This Agreement constitutes a legally binding contract between:

1. DEFINITIONS AND INTERPRETATION

1.1 In these Terms, unless the context otherwise requires, the following expressions shall have the following meanings:

AI Services

Means all artificial intelligence services, systems, models, and technologies provided by Exohood Labs, including but not limited to:

  • Exania
  • Exania Orbe
  • Exania ConnectEQ
  • Exania Analytics
  • Ginette

Blockchain Validation

Means the proprietary system of recording and validating all data transactions and model interactions through immutable blockchain technology, ensuring:

  • Transaction immutability
  • Cryptographic verification
  • Audit trail maintenance

Proprietary Code

Means all software, algorithms, models, and related technologies developed by Exohood Labs, which are strictly protected and non-open source, including:

  • AI algorithms
  • Model architectures
  • System implementations

Training Data

Means any data used for training, fine-tuning, or improving the AI models, which must be processed in accordance with our strict data protection protocols, including:

  • Model training sets
  • Validation datasets
  • Testing materials

2. SCOPE AND RESTRICTIONS OF SERVICES

2.1 Service Scope and Authorized Access

  • Exania Research AI Platform
  • Exania Orbe Offline Computing
  • ConnectEQ Experimental Models
  • Ginette Creative Suite

Access Requirements

  • Valid institutional verification

2.2 Territorial and Jurisdictional Restrictions

United Kingdom Operations

  • Primary operational jurisdiction
  • UK-registered entities only

2.3 Prohibited Uses and Activities

2.4 Proprietary Code Protection

All code, algorithms, models, and related technologies provided as part of the Services are proprietary and strictly non-open source. Users explicitly acknowledge and agree that:

  • All intellectual property rights remain exclusively with Exohood Labs
  • No right or license is granted to modify, adapt, or derive from the code
  • All interactions are logged and validated through blockchain technology
  • Violations will result in immediate termination and legal action

3. TECHNICAL REQUIREMENTS AND INFRASTRUCTURE
